Terms of Service

These Terms of Service ("Terms") govern your access to and use of the mobile and web interfaces provided by DEX ("DEX", "we", "us", or "our"), including our trading interface, website, waitlist pages, and blog (collectively, the "Services").
Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
Important: DEX is a non-custodial software interface. DEX acts solely as a provider of technology infrastructure and user interface functionality. We do not hold your funds, do not control your assets, do not have access to your private keys, do not execute transactions as principal or agent, and do not operate an exchange, order book, broker, custodian, market operator, payment processor, or investment adviser in our own capacity. Users retain control of their assets through self-custodial wallets and independently initiate and approve transactions with third-party protocols and providers.
These Terms are provided for general informational purposes and do not constitute legal, financial, or investment advice.

2. Scope of the Services
The Services include, without limitation:
- A web interface where you can access trading functionality, a waitlist, and our blog;
- Mobile applications that provide a trading interface and related features;
- Any other online content, features, or functionality we make available under the DEX brand.
DEX provides a non-custodial software interface that may allow users to access third-party decentralised protocols, infrastructure, and application programming interfaces, including but not limited to:
- Perpetuals and spot trading through Hyperliquid;
- Prediction market interfaces through Polymarket, where available;
- Token swaps and bridging through Relay, Jupiter, and related providers;
- Lending and borrowing interfaces through Aave v3;
- Fiat on-ramp services through MoonPay; and
- Wallet authentication and embedded non-custodial wallet infrastructure through Privy.
These third-party protocols and providers are independent from DEX. DEX does not operate, control, or guarantee the availability, performance, pricing, execution, settlement, legality, or security of any third-party protocol, market, wallet, bridge, on-ramp, liquidity source, or smart contract.
DEX does not operate a centralized exchange, decentralized exchange, order book, matching engine, brokerage service, custody service, payment processing service, fiat on-ramp/off-ramp service, or prediction market. DEX provides software interface functionality only. All transactions are initiated, reviewed, approved, and signed by users, and all execution and settlement occur through third-party protocols, smart contracts, wallets, networks, or service providers.
3. Eligibility
By using the Services, you represent and warrant that:
- You have the legal capacity to enter into these Terms;
- You are using the Services on your own behalf and not for any prohibited person or entity;
- You are not located in, a resident of, or otherwise accessing the Services from any jurisdiction where your use of the Services would be illegal or where we have chosen to restrict access (see Section 4).
If you do not satisfy these conditions, you must not use the Services.
4. Restricted jurisdictions
You may not access or use the Services if you are located in, a resident of, or a citizen of any jurisdiction where we determine, at our sole discretion, that your use of the Services would be unlawful or present undue regulatory or other risk.
Without limiting the generality of the foregoing, you must not use the Services if you are located in or ordinarily resident in any jurisdiction subject to comprehensive sanctions or similar restrictions, including (for example):
- United Arab Emirates
- Cuba
- Iran
- North Korea
- Russia
- The Crimea, Donetsk, Luhansk, Zaporizhzhia, or Kherson regions of Ukraine
- Any other jurisdiction or region that we may designate or that is subject to similar sanctions or prohibitions under applicable law.
You are solely responsible for understanding and complying with all laws and regulations that apply to you in connection with your use of the Services.
5. Non-custodial nature and third-party protocol access
DEX is a non-custodial software interface. DEX does not hold, control, manage, safeguard, or administer user assets, private keys, wallet credentials, trading balances, or protocol positions.
When you use the Services:
- You remain solely responsible for your wallet, private keys, credentials, transactions, assets, and positions;
- You independently decide whether to interact with any third-party protocol or provider;
- You initiate and approve transactions yourself;
- Transactions are signed through your self-custodial wallet or wallet infrastructure provider;
- Execution, settlement, liquidity, custody, market operation, and protocol functionality are provided by independent third-party protocols, networks, smart contracts, or service providers; and
- On-chain transactions are generally public, final, and irreversible once confirmed.
DEX does not act as your agent, broker, custodian, intermediary, counterparty, investment adviser, exchange, market operator, payment processor, or fiduciary. DEX does not execute trades on your behalf, transmit orders as your agent, arrange deals in investments, arrange custody, provide custody, or provide personalised investment recommendations.
Any digital asset transfer, swap, bridge, trade, loan, prediction market interaction, fiat on-ramp transaction, or other activity you perform through the Services is conducted directly between you and the relevant third-party protocol, smart contract, network, wallet provider, or service provider.
6. Accounts, authentication, and self-custody
To use certain features, you may need to connect or create an account via third-party authentication mechanisms such as Privy or wallet connections.
By doing so, you acknowledge and agree that:
- Your wallet and associated credentials are managed by you and/or by the third-party provider (e.g., Privy), not by DEX.
- DEX does not access your private keys and cannot recover them if lost.
- You are solely responsible for safeguarding your credentials, devices, and wallets and for all activity that occurs under your account and address(es).
If you believe your account or wallet has been compromised, you should immediately take appropriate steps (such as revoking access, moving assets, or rotating keys) and contact us at contact@dex.org with relevant information.
7. Information we collect
Our collection and use of information is described in detail in our Privacy Policy, which forms part of these Terms.
In summary, consistent with that Policy:
- We may collect emails, usernames, referral codes, and optional profile images you choose to provide (for example, when connecting a Twitter profile);
- We may store and display your wallet addresses, on-chain transactions, positions, and trading history, which are inherently public on the blockchain and Hyperliquid;
- We use basic technical cookies or similar storage to operate the website and manage sessions;
- We do not collect IP addresses, device identifiers, KYC data, or analytics events such as screen views and button clicks.

8. No financial, investment, or legal advice
Market data, charts, token information, portfolio information, protocol information, social features, referral features, rewards, rankings, or other content displayed through the Services are provided for general informational and technical interface purposes only. They are not personalised recommendations and should not be interpreted as advice, endorsement, solicitation, or a recommendation to buy, sell, hold, trade, lend, borrow, bridge, stake, or otherwise interact with any digital asset, protocol, market, or strategy.
All content and functionality provided through the Services are for informational and technical purposes only.
You acknowledge and agree that:
- DEX does not provide financial, investment, trading, tax, or legal advice;
- Nothing on or through the Services constitutes a recommendation to buy, sell, or hold any digital asset or to use any particular strategy;
- You are solely responsible for your investment decisions and for any use of the Services.
You should consult your own professional advisers before making any financial, investment, or legal decisions.
9. Regulatory status
DEX Limited is a technology company that provides software interface and user interface functionality only. DEX Limited is not authorised, licensed, registered, or regulated by the Dubai Financial Services Authority, the Virtual Assets Regulatory Authority, the Central Bank of the UAE, the Securities and Commodities Authority, or any other financial services regulator in the United Arab Emirates.
DEX Limited does not provide financial services, investment services, brokerage services, custody services, exchange services, market operation services, payment services, or financial advisory services in its own capacity. The Services are not made available to users located in the United Arab Emirates, and DEX may implement geographic restrictions and other controls to prevent access from restricted jurisdictions.
10. High-risk nature of digital assets and trading
Trading digital assets and using decentralized finance protocols involve significant risk, including the possible loss of all assets.
By using the Services, you acknowledge and accept that:
- The prices of digital assets can be extremely volatile;
- You may lose some or all of your funds;
- Markets may be illiquid or subject to sudden price movements;
- Smart contracts, protocols, and infrastructure (including Hyperliquid and the underlying blockchain) may contain bugs, experience outages, or behave unexpectedly;
- Transactions on the blockchain are generally irreversible, and DEX cannot reverse or cancel them once executed.
You use the Services at your own risk.
11. Prohibited activities
You agree not to use the Services for any activity that is illegal, abusive, or contrary to these Terms. Without limitation, you must not:
- Use the Services in violation of any applicable law or regulation;
- Use the Services from or on behalf of a prohibited jurisdiction or sanctioned person;
- Engage in fraud, market manipulation, money laundering, or any other unlawful activity;
- Attempt to interfere with, disrupt, or harm the proper functioning of the Services or any underlying infrastructure;
- Reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the Services, except to the extent such restrictions are prohibited by law;
- Use the Services to distribute malware or any malicious code;
- Misrepresent your identity or affiliation with any person or entity while using the Services.
We reserve the right (but are not obligated) to take actions we consider appropriate if we believe you have violated these Terms, including restricting or terminating your access to the Services.
12. Third-party services and links
The Services may reference, connect to, or display information from third-party websites, protocols, applications, smart contracts, APIs, infrastructure, wallets, or service providers, including but not limited to Hyperliquid, Polymarket, Relay, Jupiter, Aave v3, MoonPay, Privy, blockchain networks, RPC providers, indexers, analytics providers, wallet providers, and social media platforms.
These third-party services are independent from DEX. We do not control them and are not responsible for their content, security, availability, legality, performance, fees, execution, settlement, smart contracts, market outcomes, custody arrangements, compliance controls, or any loss arising from your use of them. Your use of third-party services may be subject to their own terms, policies, fees, eligibility requirements, and jurisdictional restrictions.
13. Intellectual property
Unless otherwise indicated, all content, design elements, logos, and other materials available through the Services are owned by DEX or licensed to us and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial use.
You must not:
- Copy, modify, distribute, or create derivative works based on the Services or any part of them, except as expressly allowed;
- Use any DEX trademarks, logos, or brand elements without our prior written consent.
14. Changes to the Services and Terms
We may update, modify, or discontinue any part of the Services at any time, with or without notice.
We may also update these Terms from time to time. When we do, we will update the "Last updated" date at the top. In some cases, we may provide additional notice within the app or on the website.
Your continued use of the Services after any changes to the Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
15. Disclaimers
To the maximum extent permitted by applicable law:
- The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
- We make no warranties or representations about the accuracy, completeness, reliability, or availability of the Services or any content or data displayed through them.
- We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.
- You are solely responsible for your use of the Services and any transactions you initiate via Hyperliquid or the underlying blockchain.
16. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall DEX, its directors, officers, employees, or affiliates be liable for:
- Any indirect, incidental, special, consequential, or punitive damages; or
- Any loss of profits, revenue, data, or goodwill,
arising out of or in connection with your use of, or inability to use, the Services, whether based on contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
To the extent we are found liable to you in connection with the Services, our aggregate liability shall be limited to the amount (if any) you have paid directly to us for your use of the Services in the twelve (12) months preceding the event giving rise to the claim, or, if greater, to the minimum amount required by applicable law.
17. Indemnification
You agree to indemnify, defend, and hold harmless DEX and its directors, officers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services;
- Your violation of these Terms; or
- Your violation of any applicable law or the rights of any third party.
18. Governing law and dispute resolution
These Terms, and any dispute or claim arising out of or in connection with them or the Services, shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in DIFC, Dubai, UAE, unless otherwise required by applicable law.
19. Termination
You may stop using the Services at any time.
We may, at our sole discretion, suspend or terminate your access to all or part of the Services at any time and for any reason, including if we believe you have violated these Terms or engaged in unlawful or abusive behavior.
Upon termination:
- Your license to use the Services will immediately cease;
- These Terms will continue to apply to any obligations or liabilities incurred prior to termination.
Termination of your access to the Services does not affect the status of any on-chain transactions already executed or any assets held in your wallets.
